📋 Terms of Service

1. Acceptance of Terms

By accessing or using the CitySpot platform ("Service") at cityspotdirectory.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including visitors, registered users, and business owners who list on the platform.

2. Accounts & Registration

To access most features of CitySpot, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your password and accept responsibility for all activity under your account
• Notify us immediately of any unauthorized use of your account
• Be at least 13 years of age to create an account
• Maintain only one account per person (duplicate accounts will be terminated)

We reserve the right to refuse registration, terminate accounts, or remove content at our discretion.

3. Subscriptions & Billing

Subscription Plans: CitySpot offers Explorer ($9/mo), Citizen ($29/mo), and Business ($79/mo) plans, plus one-time add-ons. Plans are billed monthly through Stripe.

• Free Trial: New accounts receive a 14-day trial. No credit card required to start. Trial automatically ends after 14 days without charge unless you subscribe.
• Auto-Renewal: Subscriptions renew automatically on your billing date unless cancelled before then.
• Cancellation: You may cancel at any time. Cancellation takes effect at the end of your current billing period. No partial refunds for unused time.
• Refunds: First-time subscribers may request a full refund within 7 days of their first charge by contacting support.
• Price Changes: We will notify you at least 30 days before any price changes.
• One-Time Purchases: Job posts, sponsored listings, and verified badges are non-refundable once activated.

4. Acceptable Use

You agree NOT to use CitySpot to:

• Post false, misleading, or fraudulent business listings or content
• Harass, threaten, defame, or harm other users
• Spam users or send unsolicited commercial messages
• Scrape, crawl, or systematically extract data from the platform
• Attempt to gain unauthorized access to any part of the platform
• Upload malware, viruses, or malicious code
• Impersonate other users, businesses, or public figures
• Violate any applicable local, state, or federal laws
• Post content that is illegal, obscene, or infringes third-party rights

5. User Content

You retain ownership of content you submit to CitySpot. By submitting content, you grant CitySpot a non-exclusive, royalty-free, worldwide license to display, distribute, and promote that content on the platform.

You are solely responsible for the accuracy and legality of content you post. CitySpot reserves the right to remove any content that violates these Terms without notice.

6. Business Listings

• Business listings must represent real, legally operating businesses
• Business information must be accurate and kept up to date
• Sponsored listings appear at the top of directory results for the purchased duration
• CitySpot may verify businesses before approval or at any time
• Fraudulent or fake business listings will be removed and the account terminated
• We do not guarantee specific business outcomes or customer traffic

7. Intellectual Property

The CitySpot platform, including its design, code, logos, and original content, is owned by CitySpot and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our platform without express written permission.

8. Termination

Either party may terminate this agreement at any time. CitySpot may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a risk to the platform or other users. Upon termination, your right to use the Service ceases immediately. Subscription fees already paid are non-refundable except as described in Section 3.

9. Disclaimers

CitySpot is provided "AS IS" without warranty of any kind. We do not guarantee that the Service will be uninterrupted, error-free, or that content will be accurate. We are not responsible for the accuracy of business listings created by users, third-party content, or external links.

News content is aggregated from third-party sources. CitySpot does not verify the accuracy of aggregated news and is not responsible for errors in third-party content.

10. Limitation of Liability

To the maximum extent permitted by law, CitySpot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of your use of the Service. Our total liability to you for any claim shall not exceed the amount you paid to CitySpot in the 12 months preceding the claim.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, except you may bring individual claims in small claims court.
